Terms of Service

1. Acceptance of Terms

By accessing or using Ailva (“the Service”), operated by Truthbound Industries Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. Ailva is a clinical intelligence platform that provides evidence-based answers with verified citations for healthcare professionals.

2. Eligibility

Ailva is available to US healthcare professionals with a valid National Provider Identifier (NPI) number, including MDs and DOs. By creating an account, you represent and warrant that you hold a valid, active NPI. Your NPI is verified against the National Plan and Provider Enumeration System (NPPES) registry at the time of registration. We reserve the right to suspend or terminate accounts associated with invalid or inactive NPI numbers.

3. Clinical Disclaimer

Ailva provides evidence-based clinical information and is intended to supplement, not replace, professional clinical judgment. All clinical decisions remain the sole responsibility of the treating healthcare professional. Ailva does not provide medical diagnoses, treatment plans, or patient-specific recommendations. The information provided through Ailva should not be used as the sole basis for any clinical decision.

Ailva is not a medical device and has not been cleared or approved by the U.S. Food and Drug Administration (FDA). Use of Ailva does not constitute the practice of medicine. Ailva is intended as a clinical decision support tool under Section 3060(a) of the 21st Century Cures Act and is designed to support, not replace, the independent clinical judgment of a qualified healthcare professional. The treating clinician bears full responsibility for all patient care decisions.

4. Prohibited Uses

You shall not enter patient-identifiable information into Ailva, including but not limited to: patient names, medical record numbers, dates of birth, Social Security numbers, health plan beneficiary numbers, or any other identifier defined as Protected Health Information (PHI) under HIPAA.

Ailva is designed for general clinical queries using de-identified clinical parameters (e.g., age, sex, conditions, lab values). Queries should describe clinical scenarios, not specific patients.

You further agree not to:

• Use automated scripts, bots, or other tools to scrape or bulk-query the Service
• Redistribute, resell, or commercially exploit Ailva responses without prior written consent from Truthbound Industries Inc.
• Share your account credentials with any other individual or entity

5. Account Terms

Each NPI number may be associated with only one Ailva account. You are responsible for maintaining the confidentiality and security of your account credentials. You agree to enable multi-factor authentication when available. You must notify us immediately at contact@ailva.ai if you become aware of any unauthorized access to or use of your account.

6. Account Deletion

You may delete your account at any time through the account settings. Upon deletion, all personal data and query history associated with your account will be permanently removed within 30 days. Some anonymized, aggregate data may be retained for service improvement purposes, but this data will not be linked to your identity or NPI.

7. Citation Verification

Every citation included in an Ailva response is verified against indexed peer-reviewed literature. Citations that cannot be verified are clearly flagged as unverified. While we strive for accuracy, we do not guarantee that all information provided through the Service is error-free. You are responsible for independently verifying any clinical information before applying it in practice.

8. Intellectual Property

Ailva’s platform, design, content, and underlying technology are the exclusive property of Truthbound Industries Inc. and are protected by applicable intellectual property laws. Clinical evidence responses are provided solely for your professional use. You retain no intellectual property rights to the platform, its design, or its underlying technology.

9. Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TRUTHBOUND INDUSTRIES INC. MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUALITY, CORRECTNESS, COMPLETENESS, COMPREHENSIVENESS, SUITABILITY, SYSTEM AVAILABILITY, AND COMPATIBILITY. NO REPRESENTATIONS HAVE BEEN MADE RESPECTING THE CLINICAL ACCURACY OR RELIABILITY OF THE SERVICE.

Truthbound Industries Inc. shall not be liable for any clinical decisions made using information provided through Ailva. IN NO EVENT SHALL TRUTHBOUND INDUSTRIES INC. OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS HAVE ANY LIABILITY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL LOSS OR DAMAGE, INCLUDING WITHOUT LIMITATION DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF PROFITS, GOODWILL, OR DATA. To the maximum extent permitted by law, the total aggregate liability of Truthbound Industries Inc. for any and all claims arising from your use of the Service shall not exceed the greater of one hundred US dollars ($100) or the total fees paid by you to Truthbound Industries Inc. during the twelve (12) months preceding the claim. Both parties acknowledge that this limitation of liability is a material part of the consideration provided.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms of Service, including but not limited to entering PHI into the Service, sharing account credentials, or engaging in prohibited uses. You may terminate your account at any time by deleting it through the account settings.

11. Indemnification

You agree to defend, indemnify, and hold Truthbound Industries Inc. and its officers, directors, employees, agents, licensors, and suppliers harmless from and against any claims, actions, demands, liabilities, and settlements, including reasonable legal and accounting fees, arising from or related to your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Privacy

Your use of Ailva is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify registered users of material changes via email or through the Service. Your continued use of Ailva following the posting of updated terms constitutes your acceptance of the revised terms.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from or related to these terms or your use of the Service shall be resolved exclusively in the state and federal courts located in Austin, Texas.
